These terms apply to the BLU website, including public pages relating to BLU Clinical, BLU Solo, pricing, support, legal information, downloads, and founder-launch enquiries.

By using the website, you agree to these terms. If you do not agree, you should not use the website.

The website is not intended to provide clinical, legal, regulatory, tax, or financial advice.

## 4. Website Content

We aim to keep the website accurate, up to date, and useful. However:

- website content is provided for general information only;
- product descriptions, screenshots, feature summaries, and pricing information may change from time to time;
- screenshots and illustrations may include representative product views;
- launch timing, availability, and feature scope may change before or after public release.

Nothing on the website creates a clinical recommendation or replaces your own professional judgement, supervision, or legal obligations.

## 5. Acceptable Use

You must not:

- use the website unlawfully or fraudulently;
- attempt to interfere with the website, hosting, forms, or connected systems;

Use of the BLU software itself is governed separately by the applicable software licence terms, subscription terms, privacy notice, and related policies.

## 8. Purchases, Subscriptions, Cancellations, And Refunds

If you purchase BLU through the website or a linked checkout flow:

- subscription billing and renewals will be handled through the applicable billing provider;
- cancellation will normally stop future renewals only;
- cancellation will not normally create a refund for the current billing period;
- if you cancel, access will normally continue until the end of the paid period unless the applicable billing flow says otherwise.

Where BLU is supplied as digital content with immediate download, activation, or access, you may be asked at checkout to agree that supply should begin straight away. If you do, you may lose any applicable change-of-mind cancellation right once access begins, subject always to any rights that cannot lawfully be excluded.

We may consider refunds where appropriate, including in cases of:

- duplicate payment;
- incorrect charge;
- proven billing error;
- unresolved technical fault preventing reasonable use of BLU; or
- any refund required by applicable law.

Any purchase, cancellation, and refund position should also be read alongside the BLU subscription terms, software licence terms, and the billing-provider checkout terms in force at the time of purchase.

## 9. Third-Party Services And Links

The website may link to third-party services, including billing providers, hosting providers, support tools, or cloud-storage providers chosen by the user.

We are not responsible for third-party websites, products, or services, and a link does not mean we control or endorse everything on that third-party site.

# BLU Software Licence Terms

## 1. About These Terms

These terms govern use of BLU Solo and any related desktop software, updates, support materials, and activation services supplied for that product.

By downloading, installing, activating, or using BLU, you agree to these terms.

If you do not agree, do not install or use the software.

## 2. Who We Are

BLU is supplied by:

## 3. What BLU Is

BLU Solo is a local-first desktop workspace for independent therapists and related practitioners.

It is designed to help one practitioner manage:

- client records and notes;
- session workflow and planning;
- clinical measures and risk review;
- safety planning and related documentation;
- letters, invoices, and correspondence;
- backups, recovery, and related practice administration.

BLU is designed to let the practitioner keep the working clinical record under their own control on their own device, with the option to back up to their own chosen storage or cloud provider.

## 4. Licence Grant

Subject to these terms and any paid subscription or trial entitlement, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use BLU for your own professional practice.

Unless we agree otherwise in writing, this licence is:

- for one practitioner;
- for one BLU Solo subscription;
- for up to 2 devices used by that same practitioner.

You do not acquire ownership of the software.

## 5. Trials, Subscription, And Activation

Use of BLU may require:

- a trial activation;
- a paid subscription;
- device activation;
- periodic licence validation.

Subscription billing, renewals, cancellations, grace periods, and related commercial terms are governed by the applicable subscription terms and the billing provider flow in force at the time of purchase.

Where BLU is supplied as digital content with immediate download or activation, you may be asked during checkout to acknowledge the applicable cancellation position before access begins.

## 6. Permitted Use

You may use BLU for your own lawful professional practice.

You must ensure that your use of BLU complies with:

- applicable data protection law;
- professional, ethical, and record-keeping obligations;
- safeguarding and clinical governance obligations relevant to your practice;
- any lawful supervisory, regulatory, or insurer requirements applying to you.

## 7. Restrictions

You must not:

- rent, resell, sublicense, or redistribute BLU except where we expressly allow it;
- share your licence in a way that exceeds the permitted user or device scope;
- reverse engineer, decompile, or disassemble the software, except where law gives you a non-excludable right to do so;
- remove copyright, branding, or proprietary notices;
- use BLU unlawfully, fraudulently, or in a way that harms our systems or rights;
- use BLU to process data in a way that is unlawful or beyond your authority.

## 8. Local-First Data Boundary

BLU is designed so that the working clinical record remains under the practitioner's control within their own desktop workspace.

This means:

- BLU does not need to host your routine clinical records in order for the product to function;
- you decide whether to keep backups locally or copy them to your own chosen cloud storage;
- if you choose to use OneDrive, iCloud, Dropbox, Google Drive, or another provider, that storage arrangement remains your choice and responsibility.

You are responsible for ensuring that any storage, backup, and device security arrangements you choose are appropriate for your practice.

## 9. Your Clinical Responsibility

BLU is a software tool. It does not replace:

- clinical judgement;
- supervision;
- safeguarding decision-making;
- legal or regulatory compliance;
- independent professional responsibility for your records.

You remain responsible for the accuracy, completeness, lawfulness, retention, and disclosure of records created in your practice.

## 10. Support And Updates

Subject to your subscription or trial status, we may provide:

- updates, patches, and fixes;
- activation and recovery support;
- guidance on reproducible software issues;
- related customer service.

Support scope and service commitments are governed separately by the BLU support policy.

We may change, improve, withdraw, or replace parts of the software where reasonably necessary, including for security, compliance, maintenance, or product development reasons.

## 11. Confirmed Notes, Audit Features, And Record Controls

If BLU includes features such as confirmed notes, read-only states, audit markers, or other record controls, those features support professional record-keeping but do not by themselves guarantee compliance with any particular legal, regulatory, or evidential standard.

You remain responsible for deciding how and when to use those tools in line with your professional obligations.

## 12. Backups And Recovery

BLU may provide tools for:

- local backups;
- export;
- restore;
- copying backups to a chosen recovery folder or cloud-sync location.

You are responsible for checking that your backup and recovery arrangements are working for your own practice.

We are not responsible for failure or loss caused by:

- your chosen third-party cloud provider;
- device failure outside our control;
- deleted or overwritten files outside the BLU application flow;
- failures in third-party sync tools or storage services.

## 13. Suspension, Restricted Mode, And Termination

We may suspend, restrict, or terminate access where reasonably necessary, including where:

- subscription or activation requirements are not met;
- payment remains unresolved after any applicable grace process;
- use breaches these terms;
- use creates security, fraud, abuse, or legal risk.

Where commercially and technically appropriate, BLU may preserve limited off-ramp functions such as viewing, export, or backup during restricted mode.

## 14. Intellectual Property

All intellectual property rights in BLU, its branding, interfaces, documentation, design, and related materials belong to us or our licensors.

These terms give you a right to use the software, not ownership of it.

## 15. No Clinical, Legal, Or Regulatory Advice

BLU does not provide clinical advice, legal advice, compliance advice, or regulatory approval.

Any templates, prompts, guidance text, summaries, or workflow tools in the software are aids only.

## 16. Warranty Disclaimer

To the maximum extent permitted by law, BLU is provided on an `as is` and `as available` basis.

We do not guarantee that BLU will always be:

- uninterrupted;
- error-free;
- compatible with every device or environment;
- suitable for every clinical workflow or regulatory context.

Nothing in these terms affects rights that cannot lawfully be excluded.

## 17. Liability

Nothing in these terms excludes or limits liability for:

- death or personal injury caused by negligence;
- fraud or fraudulent misrepresentation;
- any other liability that cannot lawfully be excluded or limited.

Subject to that, and to the maximum extent permitted by law, we are not liable for indirect, incidental, consequential, or business losses, including loss of profit, loss of opportunity, or loss caused by third-party cloud or sync providers.

If you are using BLU in the course of business, our total liability arising out of or in connection with BLU will not exceed the greater of:

- the amount you paid for BLU in the 12 months before the event giving rise to the claim; or
- GBP 100.

This draft liability position should be reviewed before launch.

## 18. Changes To BLU And These Terms

We may update the software and these terms from time to time.

Where changes are material, we will take reasonable steps to make the updated terms available through the website, software, or account journey.

## 19. Governing Law

These terms are governed by the law of England and Wales, unless mandatory local consumer law requires otherwise.

The courts of England and Wales will have jurisdiction, subject to any non-excludable rights you may have under applicable law.
